Terms of Service

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Application Services operated by AppPanel, Inc. ("us", "we", or "our"). The "Application Services" (the "Service") shall mean the online, web-based applications and programming interfaces under apppanel.com. AppPanel may also provide open-source SDKs under the MIT License as a means of accessing the Service through mobile or web applications. A "usage" shall mean a specified amount tied to each transaction-complete event.

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Service.

Usage-Based Billing

Some parts of the Service are billed on a usage basis. You will be billed based on usage from the previous billing cycle ("Billing Cycle"). Billing cycles are set on a monthly basis.

At the end of each Billing Cycle, your account will automatically renew under the same conditions unless you cancel it or AppPanel cancels it. You may cancel at any time through your account management page or by contacting AppPanel customer support.

A valid payment method, including credit card, is required to process payments. You must provide AppPanel with accurate and complete billing information including full name, address, state, zip code, and valid payment details. By submitting payment information, you authorize AppPanel to charge all usage fees incurred through your account.

If automatic billing fails for any reason, AppPanel will issue an electronic invoice requiring manual payment within the deadline indicated.

Free Trial

AppPanel may, at its sole discretion, offer a free trial for a limited period of time ("Free Trial").

You may be required to enter billing information in order to sign up for a Free Trial. If you do, you will not be charged until the Free Trial period ends. On the last day of the Free Trial, unless you cancel, you will be automatically charged for applicable usage fees.

AppPanel reserves the right to:

• Modify the terms and conditions of the Free Trial, or
• Cancel the Free Trial offer at any time without notice.

Fee Changes

AppPanel, in its sole discretion and at any time, may modify usage fees. Any fee changes will become effective at the end of the then-current Billing Cycle.

AppPanel will provide reasonable prior notice of any fee change so you may cancel before it becomes effective. Your continued use of the Service after the change takes effect constitutes your agreement to pay the modified fee.

Refunds

Certain refund requests may be considered by AppPanel on a case-by-case basis and granted at AppPanel's sole discretion.

Accounts

When you create an account with us, you represent that you are at least 18 years old and that the information you provide is accurate, complete, and current at all times. Failure to do so may result in termination of your account.

You are responsible for maintaining the confidentiality of your account and password, including restricting access to your devices and account. You agree to accept responsibility for all activities or actions that occur under your account, whether with our Service or a third-party service. You must notify us immediately of any unauthorized use of your account.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of AppPanel and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. AppPanel's trademarks and trade dress may not be used without prior written consent.

Links to Other Websites

Our Service may contain links to third-party websites or services not owned or controlled by AppPanel.

AppPanel has no control over, and assumes no responsibility for, the content, privacy policies, or practices of third-party websites. You acknowledge and agree that AppPanel shall not be liable for any damage or loss caused or alleged to be caused by reliance on any such content, goods, or services.

We strongly encourage you to review the terms and privacy policies of any third-party websites you visit.

Termination

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including breach of these Terms.

If you wish to terminate your account, you may simply stop using the Service.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Indemnification

You agree to defend, indemnify, and hold harmless AppPanel, its licensors, and their employees, contractors, agents, officers, and directors, from and against any claims, damages, obligations, losses, liabilities, or expenses (including attorneys' fees) resulting from or arising out of:

• your use of and access to the Service, or
• your breach of these Terms.

AppPanel shall hold customers harmless from third-party claims arising from infringement by the Service of any U.S. patent, copyright, or trade secret, provided the customer promptly notifies AppPanel of such claims and allows AppPanel sole control over defense and settlement. Exceptions may apply if infringement arises from customer modifications, combinations, or misuse of the Service.

Limitation of Liability

In no event shall AppPanel, nor its employees, partners, agents, or affiliates, be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or goodwill, arising from:

• your access to or use of the Service;
• third-party conduct or content;
• any content obtained from the Service; or
• unauthorized access or alteration of your data.

Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

AppPanel does not warrant that the Service will be uninterrupted, secure, free of errors, or that it will meet your requirements.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or liability limitations, so parts of this section may not apply to you.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of California, United States, without regard to conflict-of-law principles.

Failure to enforce any provision shall not be considered a waiver. If any provision is found invalid, the remaining Terms shall remain in effect. These Terms constitute the entire agreement regarding the Service.

Changes

We reserve the right, at our discretion, to update or replace these Terms at any time. Material changes will be announced with at least 30 days' notice.

By continuing to use the Service after revisions become effective, you agree to be bound by the updated Terms. If you do not agree, you must stop using the Service.

Your privacy and that of your end users is governed by our Privacy Policy.
